Vocation Wizard Terms of Use

1. Introduction

1.1 We are Seecloud Limited, a company registered in England and Wales with company number 10473953 and registered office at Lytchett House, 13 Freeland Park, Wareham Road, Poole, Dorset BH16 6FA (we, us). We operate the Vocation Wizard website (“Vocation Wizard”) which provides career advice, information, guidance and resources for healthcare professionals, and people seeking employment or career development opportunities. Vocation Wizard also features a publicly accessible directory of recruitment agencies and other organisations that provide relevant recruitment or career-related services (the “Agency Directory“). Agencies listed in the Agency Directory may have a free standard listing (“Standard Listing”),or they may upgrade to a paid listing (“Featured Listing”).

1.2 We may update these Terms from time to time at our discretion. We may do so for technical or legal reasons, or because the needs of our business have changed. You agree that if you do not accept any amendment to our Terms then you shall immediately stop accessing and/or using Vocation Wizard. If we reasonably believe that the change to the Terms is significant, we shall notify all registered agencies by email and the change will take place 30 days after you receive such email. Otherwise, updated Terms will be effective as soon as they are accessible. You are responsible for regularly reviewing these Terms so that you are aware of any changes to them.

1.3 We take your privacy seriously. We process all personal data in accordance with our privacy policy.

1.4 These Terms apply to all users of Vocation Wizard but Conditions 4 to 8 apply only to an Agency as defined in Condition 4.

2. Website Content

2.1 Vocation Wizard contains career advice, articles, guidance, educational materials and resources relating to healthcare careers and employment. All content on Vocation Wizard is provided for information and educational purposes only. None of the content on Vocation Wizard constitutes legal, medical, regulatory, employment, recruitment, financial or other advice. You should obtain appropriate independent professional advice where necessary.

2.2 We use reasonable endeavours to ensure that information published on Vocation Wizard is accurate, but we do not warrant that all information will always be complete, current, accurate or free from errors or omissions. Our liability for all such content is excluded to the maximum extent permitted by law.

2.3 The Agency Directory is not an endorsement or recommendation of an Agency by us. You are responsible for carrying out your own checks and due diligence before contacting or engaging with an Agency listed in the Agency Directory.

3. Website Access

3.1 You may use Vocation Wizard for your lawful purposes. You must not:

copy any content, including but not limited to the Agency Directory for commercial purposes;
try to gain unauthorised access to Vocation Wizard or any networks, servers or computer systems connected to Vocation Wizard;
transmit spam, chain letters or other unsolicited emails;
reproduce, redistribute, sell, create derivative works from, decompile, reverse engineer, or disassemble all or part of Vocation Wizard save to the extent expressly permitted by law not capable of lawful exclusion;
use or access the Website to build or support, and/or assist a third party in building or supporting, products or services competitive to us;
use Vocation Wizard in any manner that could damage, disable, overburden, impair, obstruct or otherwise interfere with the operation of Vocation Wizard; and/or
use any robot, spider, scraper, crawler, automated tool, data-mining technique or similar means to access, extract, collect, copy, download, reproduce or otherwise obtain any content, data or information from Vocation Wizard, including the Agency Directory.

3.2 We may freely use any anonymised data that we collect in connection with your use of Vocation Wizard including through online tracking tools, in order to improve, review and analyse Vocation Wizard.

3.3 The copyright in all content on Vocation Wizard is owned by or licensed to us. All rights are reserved.

4. Agency Registration

4.1 Recruitment businesses (“Agency”) that we approve at our discretion may register an account on Vocation Wizard so that they can feature in the Agency Directory. If you wish to register on Vocation Wizard, you must have the authority to bind the organisation you represent to these Terms and be at least 18 years old. Registration is subject to our approval and we may accept or reject an application at our sole discretion. Each Agency may register only one account.

4.2 You are responsible for keeping your password confidential and you are responsible for any activity under your account. Please take precautions to protect your password and contact us immediately if you believe there has been any unauthorised use of your account.

4.3 An Agency listing may include information such as the Agency’s name, logo, website address, contact details, areas of recruitment, locations served and other information that we consider appropriate.

4.4 Agencies are responsible for ensuring that all information supplied to us for inclusion in the Agency Directory:

(a) is accurate, current and not misleading.
(b) complies with all applicable laws and regulations;
(c) does not infringe the copyright, database rights, trade mark rights or other intellectual property rights of any third party;
(d) does not breach any legal duty owed to a third party, including any duty of confidentiality;
(e) does not otherwise give rise to any claim against us.4.5 We may at our sole discretion and without any liability, require an Agency to amend or remove any such content at any time and without notice to you if we reasonably consider that:
(a) the information provided by the Agency is inaccurate, misleading, unlawful or out of date;
(b) the Agency is in breach of these Terms;
(c) the Agency’s listing is inappropriate or inconsistent with the purpose of Vocation Wizard or Agency Directory; or
(d) we are required to do so for legal, regulatory, technical or operational reasons.

4.6 We do not guarantee that any Agency listing will receive a particular number of views, enquiries, clicks, leads, applications or other interactions, or that a Featured Listing will appear in any particular position or location at all times.

5. Fees

The Fee for a Featured Listing is £19 + VAT for a period of 90 days. The Fee must be paid in full at the time you upgrade your account to a Featured Listing. Details of the added benefits of a Featured Listing are here [link].
The 90-day period begins when payment of the Fee has been successfully processed.
Unless otherwise stated at the time of purchase, a Featured Listing will expire automatically at the end of the 90-day period and will not automatically renew.
The Fee is non-refundable, including where an Agency chooses to terminate or remove its Featured Listing before the end of the 90-day period, except where we are required by law to provide a refund.
Payments for Featured Listings are processed securely through Stripe Checkout. We do not store or directly process customers’ payment card details. Payment processing is subject to Stripe’s applicable terms and policies.

6. Liability

6.1 Subject to Condition 6.3, we shall in no circumstances be liable to you in respect of your use of Vocation Wizard in contract, tort (including negligence) or otherwise for any:

(a) loss of profits;
(b) loss of business;
(c) loss of reputation or goodwill;
(d) loss of anticipated savings;
(e) loss of contract;
(f) loss of or corruption of data or information; and/or
(g) any special, indirect, consequential or pure economic loss, costs, damages, charges or expenses whether or not advised of the possibility of the same.

6.2 Subject to Condition 6.3 our total liability to you in contract, tort (including negligence or breach of statutory duty), misrepresentation, restitution or otherwise arising in connection with the performance or contemplated performance of these Terms shall be limited to the fees paid or payable (if any) in the previous 3 months.

6.3 Nothing in these Terms shall be construed as excluding or limiting our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation or for any other liability that cannot be excluded by English law.

7. Indemnity

7.1 Agencies shall indemnify, defend and keep us indemnified and defended, and hold us harmless from and against any costs, claims, losses, damages, expenses and liabilities that we may suffer or incur arising out of or in connection with any information or other content supplied by the Agency for inclusion in its listing on the Agency Directory.

8. Termination or Suspension

8.1 If an Agency does not log into its account for a continuous period of 11 months, we will send an automated email to the address associated with the account notifying the Agency that it must log into its account within 30 days. If the Agency does not log into its account within that 30-day period, we may delete the Agency’s account and remove its Standard Listing from the Agency Directory.

8.2 We may suspend or terminate an Agency’s account and/or remove its Agency Directory listing at any time where we reasonably consider that the Agency has breached these Terms, provided inaccurate or misleading information, or where suspension or removal is otherwise necessary for legal, regulatory, technical or operational reasons.

8.3. An Agency may request termination of its account and removal of its Agency Directory listing at any time by contacting us or using any account functionality provided for this purpose. No refund will be due for any unexpired term of a Featured Listing.

8.4 Where an Agency’s account is terminated or deleted, the Agency must not create another account or re-register where the purpose of doing so is to circumvent a suspension, termination or other restriction imposed under these Terms.

8.5 Termination shall not affect the accrued rights of the parties or the operation of any provision which expressly or by implication should continue after termination, including the right to claim damages in respect of any breach of these Terms which existed at or before the date of termination.

9.General

9.1 These Terms contain the entire agreement of the parties with respect to its subject matter and supersede all prior agreements and representations, standard conditions or other implied conditions, whether written or oral, with respect to the subject matter of these Terms.

9.2 You may not assign or delegate your rights or obligations under these Terms, in whole or in part, to any third party by operation of law or otherwise, without our prior written consent. Any attempted assignment or delegation that does not comply with this Condition 9.2 shall be of no effect. We shall be entitled to assign or delegate our rights or obligations under these Terms, in whole or in part, to any third party at our discretion.

9.3 Any failure by any party to enforce any provision of these Terms shall not constitute a waiver thereof or of any other provision.

9.4 If any provision of these Terms is found to be unenforceable, the remainder shall be enforced as fully as possible and the unenforceable provision shall be deemed modified to the limited extent required to permit its enforcement in a manner most closely approximating the intention of the parties.

9.5 Nothing in these Terms shall create or imply an agency, partnership or joint venture between the parties. Neither party shall act or describe itself as the agent of the other party nor shall either party have or represent that it has any authority to make commitments on behalf of the other.

9.6 All notices under these Terms shall be delivered by hand or by email or by registered mail, and shall be deemed delivered on delivery if delivered by hand or email, and within 2 working days if delivered by mail. You should send an email to us at info@vocationwizard.com

9.7 These Terms are governed by and will be construed in accordance with the laws of England and Wales.

9.8 The parties submit to the exclusive jurisdiction of the courts of England and Wales in relation to any legal actions or proceedings arising out of or in connection with these Terms.
